Terms of Service

WEBSITE MANAGEMENT SERVICE AGREEMENT

This Website Management Service Agreement (the "Agreement") is entered into by and between Amaze Web Studio, LLC ("Provider") and the client ("Client").

Recitals

WHEREAS, Provider operates a website management service company focused on small businesses;

WHEREAS, Client desires to engage Provider for the one-time build and ongoing management and maintenance of a professional website on a subscription basis;

NOW, THEREFORE, the parties agree as follows:

1 Services

1.1 One-Time Website Build

Provider will deliver a professional, mobile-first homepage using secure tools and platforms. This includes:

  • Custom domain connection
  • Contact forms, gallery/images, and basic lead-generation features
  • Initial/basic SEO setup and optimization
  • Alignment with Client's branding and input

The one-time build is provided at no charge. Most sites are ready for review quickly and go live within days of approval.

1.2 Ongoing Website Hosting & Management (Monthly Subscription)

For an annual fee of $365, or a monthly fee of $49, Provider will provide:

  • Secure, high-performance hosting
  • Daily automated backups
  • Security monitoring and updates
  • Uptime monitoring
  • Basic technical support
  • Proactive maintenance to keep the site fast and secure

Client-requested content updates or minor design tweaks are available as needed — just reach out and we'll handle them on a best-effort basis. Major changes, redesigns, additional pages, or advanced features will be quoted separately.

1.3 Scope Limitations

The fee covers standard hosting, security, monitoring, and maintenance. It does not include major redesigns, custom development, e-commerce functionality, advanced SEO campaigns, custom photography/video production, complex third-party integrations, or legal/compliance work (e.g., full ADA audits). Client is responsible for ensuring its content complies with all applicable laws, including accessibility requirements.

1.4 Administrative Access and Ownership

Provider will retain administrative access to the website for the duration of the services to ensure safe updates, security, and reliable performance.

Client owns its domain name, all original content, logos, and branding. Provider retains ownership of all templates, tools, custom design elements, and platform configurations, which are licensed to Client solely during the active term of this Agreement.

Upon termination and payment of all outstanding fees (including any early termination fee), Client may request a one-time handover of administrative access for a $200 professional service fee. After handover, Client assumes full responsibility for the website. Provider has no obligation to assist with migration, export, or transition to any other service or provider.

2 Payment Terms

One-time Build Fee: Free.

Annual or Monthly Hosting & Management Fee: $365 per year, or $49 per month, automatically billed.

The annual fee or first month's fee is due upon website launch/activation. Provider may suspend services if payment is overdue. All fees are non-refundable except as expressly provided in the termination section.

​Provider may change the annual or monthly fee at any time by providing Client with at least 30 days’ prior written or electronic notice. If Client does not wish to accept the new fee, Client may cancel the services in accordance with the cancellation provisions of this Agreement. Client’s continued use of the services after the effective date of the fee change constitutes acceptance of the new fee.

3 Client Responsibilities

  • Provide all necessary content, images, logos, and business information in a timely manner.
  • Ensure all content complies with applicable laws and does not infringe third-party rights.
  • Maintain accurate contact information with Provider.
  • Not attempt to access or modify the website's administrative backend without Provider's consent.

4 Term, Termination, and Cancellation Policy

Initial Term: 12 months commencing on the date the website is launched/activated.

Automatic Renewal: This Agreement automatically renews on an annual or month-to-month basis, based on the client's hosting subscription, unless Client provides timely cancellation notice.

Notice of Automatic Renewal: Consistent with Florida law (Fla. Stat. § 501.165), Provider will send Client clear written or electronic notice of upcoming automatic renewal no less than 30 days and no more than 60 days before the end of the Initial Term (and as applicable thereafter). The notice will include instructions on how to cancel.

Early Termination: Client may terminate hosting services by providing 30 days' written notice via email to grant@amazewebstudio.com. No refunds will be made for any unused prepaid hosting time.

Cancellation At End of Term: Client may cancel with 30 days' written notice to grant@amazewebstudio.com. Cancellation takes effect at the end of the notice period. Client remains responsible for fees through the effective date. No refunds for partial months.

Post-Termination Handover: Subject to full payment of outstanding fees, Client may request the $200 administrative handover described in Section 1.4. Provider retains access until handover is complete.

Provider Termination: Provider may terminate immediately for non-payment, material breach, or as otherwise permitted by law.

5 Intellectual Property and Ownership

  • Client retains ownership of its content, logos, and domain.
  • Provider retains ownership of templates, tools, designs, and configurations (licensed during the term).
  • Client grants Provider a limited license to use Client materials solely to provide the services.

6 Warranties and Limitations of Liability

Provider will perform services in a professional manner consistent with industry standards. Services are provided "as is" except as expressly stated. Provider makes no guarantees regarding search engine rankings, website traffic, or business results. Provider's total liability shall not exceed the total fees paid by Client in the preceding 12 months (or the amount paid for the specific service), whichever is less.

7 Indemnification

Client agrees to indemnify and hold harmless Provider from any claims, damages, or liabilities arising from Client's content or use of the website.

8 Governing Law

This Agreement is governed by the laws of the State of Florida. Any disputes shall be resolved exclusively in the courts of Polk County, Florida.

9 Miscellaneous

  • This Agreement constitutes the entire agreement between the parties.
  • Amendments must be in writing.
  • If any provision is held invalid, the remainder remains in effect.
  • This Agreement may be executed electronically and complies with the federal ESIGN Act and Florida's Uniform Electronic Transactions Act (UETA).

10 Electronic Acceptance

By proceeding with the website review, launch, or payment, Client acknowledges that they have read, understood, and agree to this Agreement, including the free build, $365 annual fee or $49 monthly fee, automatic renewal, administrative access provisions, and handover fee.
