This Website Management Agreement (the "Agreement") is entered into as of the date of electronic acceptance, by and between:
Amaze Web Studios, LLC, a Florida limited liability company located in Florida ("Provider"),
The individual or business entity electronically accepting these Terms ("Client").
WHEREAS, Provider offers professional website management services on a subscription basis;
WHEREAS, Client desires to engage Provider for the ongoing management and maintenance of a website;
NOW, THEREFORE, the parties agree as follows:
For a monthly fee of $124 (which includes the homepage) plus $10 per additional page, Provider will deliver:
Client may increase or decrease the number of additional pages, other than the homepage, at any time. The monthly fee will be adjusted accordingly for the following billing cycle. Changes to page count do not affect the Initial Term or renewal obligations.
The monthly fee covers routine content updates (text, images, hours, contact info, offers) and standard maintenance. It does not include major redesigns, custom development, e-commerce functionality, advanced SEO campaigns, photography, video production, or legal/compliance work (e.g., full ADA audits).
Provider will retain administrative access to the website for the duration of the management services. This enables Provider to perform updates safely and efficiently, maintain security, apply updates, and ensure reliable performance. Client owns its domain (if provided or transferred), all content, and branding. Client may request a full migration of the website upon termination (see Section 4).
Monthly Subscription Fee: $124 base (homepage) + $10 per additional page, automatically billed each month.
First month due upon site launch / activation.
Late payments incur a $15 Late Fee. Provider may suspend services if payment is 10 or more days overdue.
All fees are non-refundable except as expressly provided in the termination section.
Initial Term: This Agreement has an initial term of 12 months commencing on the date the website is launched/activated ("Initial Term").
Automatic Renewal: After the Initial Term, this Agreement shall automatically renew on a month-to-month basis unless Client provides timely cancellation notice as set forth below.
Notice of Automatic Renewal: Consistent with Florida law (Fla. Stat. § 501.165), Provider will send Client written or electronic notice of the upcoming automatic renewal no less than 30 days and no more than 60 days before the end of the Initial Term (and before each subsequent renewal period, if applicable). The notice will clearly and conspicuously state that the Agreement will automatically renew unless Client cancels and will include instructions on how to cancel.
Early Termination: Client may terminate this Agreement prior to the expiration of the Initial Term by providing 30 days' written notice via email to [email protected] and paying an early termination fee equal to fifty percent (50%) of the total monthly subscription fees that would otherwise be due for the remainder of the Initial Term (calculated based on Client's then-current page count). The early termination fee is due and payable immediately upon notice of termination.
Cancellation After Initial Term: After the Initial Term has expired, Client may cancel the monthly management services by providing 30 days' written notice via email to [email protected].
Upon termination of the management services (whether at the end of the Initial Term or upon early termination), Provider will assist Client with website migration/export upon payment of a one-time professional service fee of $500.
Provider may terminate this Agreement immediately for non-payment, material breach, or any other reason permitted by law.
Provider will perform services in a professional manner.
No Guarantees: Provider does not guarantee specific website traffic, search rankings, or business results.
Limitation of Liability: Provider's total liability under this Agreement shall not exceed the total fees paid by Client in the 12 months preceding the claim. Provider is not liable for indirect, incidental, or consequential damages.
Client agrees to indemnify Provider against claims arising from Client's content or business activities.

This Agreement is governed by the laws of the State of Florida. Any disputes shall be resolved exclusively in the courts of Polk County, Florida.
